Coding Audit Evaluation Agreement
Version: October 20, 2026
This agreement is between Bear AI Inc., operating Specific Marketplace (“Specific”), and the person or entity submitting materials for a coding audit (“you”). It takes effect when you affirmatively accept it for a submission.
1. Materials and purpose
“Materials” means the private code repositories or archives you select and submit for the audit, including any imported source code, Git history, repository metadata, pull requests, reviews, comments, issues, releases, and Actions metadata. The sole purpose of the audit is to assess the Materials’ quality and suitability for a possible, separately approved paid nonexclusive license.
You confirm that you have authority to provide the Materials for this limited evaluation. You should exclude credentials, third-party personal information, and employer, client, or other third-party confidential materials that you are not authorized to disclose.
2. Ownership and limited evaluation permission
You retain all ownership and intellectual property rights you hold in the Materials. Third-party rights remain with their respective owners. Submitting Materials, completing an audit, receiving an evaluation or offer, or failing to respond to an offer does not sell, assign, or transfer ownership or grant a commercial license.
You grant Specific a limited, nonexclusive, revocable permission to access, copy, securely store, and inspect the Materials solely to perform the audit and communicate its results and a potential offer to you. Specific may create internal audit reports solely for this purpose. These reports do not give Specific ownership of your Materials or additional rights to use them.
3. No training or commercial use
This agreement does not authorize using the Materials or copies, excerpts, or transformations of them to train or fine-tune AI models, evaluate or benchmark models, create training or synthetic datasets, develop commercial products, or sell, sublicense, publish, or distribute the Materials. Anonymization, redaction, or completion of the audit does not expand the permitted uses.
Specific may not provide the Materials to prospective buyers or other independent third parties under this agreement.
4. Confidentiality and service providers
Specific will treat the Materials and nonpublic audit results as confidential and use reasonable safeguards to protect them. Access is limited to personnel and service providers who need it solely to conduct or support the audit and are bound to confidentiality and use restrictions consistent with this agreement. Service providers receive no independent use or training rights. Specific remains responsible for their compliance.
If disclosure is legally required, Specific may disclose only what is required and, where legally permitted, will notify you before disclosure.
5. Separate approval for any paid license
Any paid nonexclusive license requires a separate written agreement affirmatively approved by both you and Specific before any licensed use begins. That agreement must identify the covered Materials, permitted uses, compensation and payment conditions, duration, and any approved recipients or sublicensing rights. You retain ownership under any such nonexclusive license.
An audit result, quoted price, estimated payout, silence, or continued storage is not approval. You may decline any offer. This evaluation agreement does not obligate either party to enter a license or make a payment.
6. Ending the evaluation and deletion
You may revoke evaluation permission and request deletion by emailing sid@usebear.ai. Specific will stop evaluation use upon receiving the request. Unless you separately approve an extension or license in writing, evaluation permission also ends when Specific completes or discontinues the audit.
Within 30 days after evaluation permission ends, Specific will delete the Materials and reports containing their content from active systems and instruct its service providers to do the same. Residual backups may remain until their normal rotation, must remain protected, and may not be restored for evaluation or commercial use. Any restored copies must be deleted again. Records required by law may be retained only for that purpose, with access restricted. Specific may retain a minimal record of this agreement, acceptance, and deletion without retaining the submitted code. Specific will confirm deletion status and any remaining backup or legally required retention on request.
7. Controlling terms
For Materials submitted under this agreement, this agreement controls over any conflicting Contributor Terms of Use, submission terms, Data Use Policy, or linked Data Purchase Agreement. No ownership transfer, training right, commercial license, irrevocable license, or deemed acceptance in those documents applies to this evaluation.
This agreement does not retroactively amend a previously accepted agreement or authorize past use. Any amendment concerning previously submitted Materials requires separate written agreement identifying those Materials.
Changes that expand the rights granted here require your separate affirmative written approval. Ownership, use restrictions, and confidentiality continue after the evaluation ends for as long as Specific or its service providers retain Materials.
